Introduction
Welcome to Sycamore.
These Terms of Use (“Terms”) govern your access to and use of the services provided by Sycamore Labs, Inc. (“Sycamore”, “we”, “us”, or “our”), including our website sycamore.so and our enterprise AI platform (the “Services”).
By accessing or using the Services, you agree to these Terms. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
Who can use the Services
The Services are intended for use by businesses and organizations.
- You must be at least 18 years old to use the Services.
- You may only use the Services if you are authorized to do so by your organization.
- Your organization is responsible for all activities conducted under its accounts.
Enterprise agreements
If you or your organization have entered into a separate written agreement with Sycamore (such as a Master Services Agreement, Order Form, or similar contract), that agreement governs your use of the Services and will control over these Terms in the event of any conflict.
Accounts and workspaces
To use certain features of the Services, you must create an account.
You agree to:
- Provide accurate and complete information
- Maintain the security of your account credentials
- Notify us promptly of any unauthorized use
Organizations may create shared workspaces and invite team members. You are responsible for:
- Managing user access and permissions
- Ensuring all users comply with these Terms
Description of the Services
Sycamore provides an enterprise platform for designing, deploying, and operating AI systems and autonomous agents across their lifecycle, including capabilities to discover, build, deploy, observe, and improve such systems.
The Services may generate outputs based on inputs, configurations, and data provided by users (“Outputs”).
AI outputs and limitations
You acknowledge and agree that:
- Outputs are generated by automated systems and may be inaccurate, incomplete, or unreliable
- Outputs are provided for informational purposes only and should not be solely relied upon without independent verification
- You are responsible for evaluating the accuracy and appropriateness of Outputs for your use case
Sycamore does not guarantee that Outputs will be correct, error-free, or suitable for any particular purpose.
Fees and payment
Access to the Services is provided on a paid, subscription basis unless otherwise agreed.
- Fees, billing terms, and payment obligations are defined in your applicable agreement with Sycamore
- Unless otherwise stated in a written agreement, fees are non-refundable
- Failure to pay may result in suspension or termination of access
Acceptable use
You agree not to, and not to permit others to:
- Use the Services for any unlawful, harmful, or fraudulent purpose
- Interfere with or disrupt the integrity or performance of the Services
- Attempt to gain unauthorized access to systems or data
- Reverse engineer, decompile, or attempt to extract source code or underlying models
- Use the Services to develop or improve competing products or services
- Conduct benchmarking or performance testing without prior written consent
- Generate or distribute content that is abusive, harmful, or violates applicable laws
- Circumvent security measures or access controls
We reserve the right to investigate and take appropriate action in response to violations.
Data and privacy
Your use of the Services is also governed by our Privacy Policy.
Intellectual property
Sycamore and its licensors retain all rights, title, and interest in and to the Services, including all underlying technology, models, and systems.
Except as expressly permitted, these Terms do not grant you any rights to:
- Use Sycamore’s trademarks, branding, or proprietary technology
- Copy, modify, or create derivative works of the Services
Ownership and usage rights related to customer data and Outputs may be further defined in your enterprise agreement with Sycamore.
Suspension and termination
We may suspend or terminate access to the Services:
- If you violate these Terms
- If required by law or regulatory authority
- If necessary to protect the security, integrity, or operation of the Services
Additional termination rights and obligations may be defined in your enterprise agreement.
Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SYCAMORE DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING:
- MERCHANTABILITY
- FITNESS FOR A PARTICULAR PURPOSE
- NON-INFRINGEMENT
- ACCURACY OR RELIABILITY OF OUTPUTS
We do not guarantee that the Services will be uninterrupted, secure, or error-free.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- SYCAMORE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES
- THIS INCLUDES LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL
IN ALL CASES, SYCAMORE’S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO SYCAMORE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM
Some limitations may not apply where prohibited by law.
Indemnification
You agree to indemnify and hold harmless Sycamore, its affiliates, officers, and employees from any claims, damages, or losses arising out of:
- Your use of the Services
- Your violation of these Terms
- Your use of Outputs
Modifications to the Services and Terms
We may update the Services or these Terms from time to time.
If we make material changes, we will provide notice (e.g., via the website or email). Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
Governing law
These Terms are governed by the laws of the State of California, without regard to conflict of law principles.
